Challenges to New York’s legal action against Trump

October 5, 2022 – New York Attorney General Letitia James’ massive fraud lawsuit is a significant development in Donald Trump’s litigation, leading some commentators to believe it is the tipping point that could eventually bring him down.

However, I plead for a more cautious assessment of this case. Three main challenges are likely to complicate James’ ability to successfully prosecute the former president and his co-defendants (including his New York businesses).

First, it may be years before James’ extensive complaint is reviewed since she filed it as a civil complaint in the Supreme Court in Manhattan, a severely congested jurisdiction. Furthermore, since the state system allows many interim matters, such as B. motions and investigative disputes, can be appealed to a higher court, it is susceptible to abuse by parties intent on procrastination and delay.

Trump, of course, is a master of such tactics. It is conceivable that he will stall the case in court after the 2024 presidential election. This sluggish pace could rob the case of much of its power and importance.

Second, successfully prosecuting criminal or civil “commercial” cases involving complex fraud allegations is not an easy task. For example, the Manhattan District Attorney’s criminal case against Trump, which may have covered some of the same grounds as James’s case, was dropped before the indictment.

James herself overdid it a few years ago when she sued Exxon Mobil for alleged fraud in public reporting on the cost of regulating climate change after a four-year investigation. James brought the massive case under the Martin Act, the securities law equivalent of the Executive Law provisions under which she was suing Trump. Both laws give the Attorney General broad powers to pursue “persistent” fraud schemes.

After a 2019 trial, the trial judge dismissed James’ allegations, which he described as “hyperbolic.” He stated that the Attorney General had produced no evidence that the company had made false statements that would have misled a reasonable Exxon Mobil investor.

A trial of Trump and his co-defendants could dwarf the trial of Exxon Mobil in size and complexity, and once again test their office’s ability to prevail in such a case.

The unclear status of Deutsche Bank

Third, at the heart of James’ lawsuit are allegations that Trump, because of his grossly inflated financial position, tricked Deutsche Bank into borrowing around $340 million on favorable terms. According to AG, Trump’s deceptions saved him between $85 million and $150 million in interest costs on the loans, meaning the bank was misled by his actions.

This last allegation is a nod to the legal requirements applicable to the AG’s action. Under executive law, James does not have to prove the elements of common law fraud to prevail, but she does have to demonstrate that the systems in question have “an ability or tendency to deceive,” as one case puts it.

But even this watered-down view can be too far-fetched in the case of a sophisticated financial institution like Deutsche Bank. Banks typically do their own due diligence before making loans, and the borrower’s cash flow, not the value of their collateral, is usually their primary concern.

Notably, according to the lawsuit, Trump debtors repaid nearly $300 million of the outstanding loans by the end of May 2022. Deutsche Bank probably made an internal calculation that it would be rewarded handsomely in fees and interest if it issued these loans, and that calculation appears to have been largely, if not entirely, correct.

Even if Deutsche Bank’s allegations go before a jury, these facts could have a number of positive implications for the defense, depending on how James presents her case. Trump could emphasize that the bank basically profited from its business and no one was hurt. He could also argue that Deutsche Bank probably suspected Trump’s financial statements were overstated, but looked the other way because of its own due diligence, its calculation of the fees and interest at stake, and the overall business value of the Trump relationship.

In any of these scenarios, the AG might have a hard time realizing that their case really does sound like fraud. The jury could conclude that their case was (as the Exxon Mobil judge said) “hyperbolic” and rule against the government on that basis.

James has written an impressively detailed complaint. However, enough complications lay in their path to make their ultimate success anything but certain.
